Legal Counsel

CyberArk is seeking a full-time in-house legal counsel. This person will act as a primary commercial counsel for our Americas’ business and will be instrumental in negotiating commercial transactions with leading global enterprises. This position will report to CyberArk’s Managing Counsel and will require some domestic and international travel.

  • Manages and negotiates software licensing and support contracts, including resale/distribution/other collaboration models
  • Drafts and negotiates inbound software licenses including open source, technology co-operations and OEMs
  • Supports many departments throughout the organization (such as marketing, human resources, finance, procurement


Skills and Experience:

  • J.D., Massachusetts and/or New York Bar
  • 5+ years of experience in practicing commercial law in a global high-tech company, preferably software/cyber-security
  • Proven experience in commercial IT transactions (software licensing, cloud-based software solutions, software and hardware resale and distribution agreements, OEM transactions, maintenance and support, professional services and consulting in the IT domain etc.)
  • Strong interpersonal skills, team player and leader, experience working in cross-cultural environments
  • Business oriented, ability to think strategically and establish a “trusted advisor” relationship with internal clients
  • Outstanding negotiation and persuasions skills
  • Creative and pragmatic thinker, responsive and proactive
  • Deep understanding of the business, technical, legal and financial aspects in contract negotiation and actual performance
  • Ability to work independently with minimal supervision; motivated self-starter
