CYBERARK CONTRACT TERMS

As used herein “you” means the entity purchasing service(s), hardware, software, or other goods (collectively, “Products”) from CyberArk or from which CyberArk purchases Products.

“CyberArk” means the CyberArk entity indicated on the applicable quote or purchase order to you.

For clarity, different or lesser commitments may apply to beta or preview Products, Products that have been materially modified, or any Products licensed by CyberArk or our affiliates that are not made generally available to the public or otherwise not licensed under CyberArk’s software license/subscription terms.

The EULA applies to CyberArk’s various on-premise Products that are licensed for use within your infrastructure.  You agree to the EULA upon installation or use of the applicable Product, or otherwise indicating consent electronically.

SaaS is a delivery model for software applications whereby CyberArk hosts and operates the application over the Internet and delivers it as a service to you. You pay for the ability to access and use the software without owning the underlying infrastructure and agree to terms of service upon your initial sign-on.

The Maintenance and Support Terms apply to CyberArk’s provision of support services as part of any SaaS product you purchase, as well as for CyberArk’s provision of maintenance and support services related to any on-premise software licenses you purchase.

Professional services may include:

  • Initial project planning
  • Security process design and development
  • Solution configuration and customization
  • Integration with additional systems
  • Post-implementation analysis
  • Migration services
  • Success Plans
  • Technical Account Manager
  • Jump Start packages

If you purchase any professional services, the following professional service terms will supplement and form part of your applicable agreement(s) with CyberArk.

You can purchase third-party hardware appliances from CyberArk for use with certain Products. The Hardware Addendum supplements and forms part of your applicable agreement(s) with CyberArk.

Where CyberArk will be processing personal data on your behalf, as defined in the applicable Data Protection Legislation[1], CyberArk’s data protection commitments can be found in the Data Processing Addendum, which provides CyberArk’s data processing terms and terms for CyberArk-hosted services to which customers subscribe under a SaaS agreement. [1] Which includes all applicable privacy and data protection laws including (i) as far as applicable the General Data Protection Regulation ((EU) 2016/679) (the “GDPR”) and any applicable national implementing laws, regulations and secondary legislation including the UK Data Protection Act 2018, (ii) as far as applicable the Privacy and Electronic Communications Directive (2002/58/EC) and any applicable national implementing laws including the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2003/2426), (iii) any replacement legislation implemented by the United Kingdom (“UK”) pursuant to the withdrawal of the UK from the European Union,  and (iv) and the California Consumer Privacy Act (CCPA), in each case as amended, replaced or updated from time to time.

The Vendor Compliance and Privacy Addendum supplements and forms part of the applicable purchase order, SOW or other similar document issued by CyberArk to you.
